- Results depend entirely on your own decisions, effort, implementation, market conditions and other factors outside the Company’s control. You alone are responsible for how you use what you learn.
13. Limitation of liability
- Programs are provided “as is”. To the fullest extent permitted by law, the Company gives no warranty or promise of any kind, express or implied, about any Program, its content, accuracy, suitability for your business, or outcome, other than those stated in these Terms.
- Overall cap. The total liability of the Company, Dr. Ameet Parekh, and the Company’s directors, coaches, trainers, staff, partners and agents (together, “Company Parties”) to you, for all claims of any kind connected with any Program, these Terms or the website, whether in contract, negligence, deficiency of service, statute or otherwise, is limited in total to the fees you actually paid to the Company for the specific Program the claim relates to, less any amount already refunded.
- No indirect loss. The Company Parties are not liable for any indirect, incidental, special, consequential, exemplary or punitive loss or damage, including loss of profit, revenue, business, contracts, clients, goodwill, reputation, opportunity, data, time or anticipated savings, even if the Company was told such loss was possible.
- Your business decisions. The Company Parties are not liable for any loss arising from any decision you make, or action you take or do not take, in your business, finances, hiring, investments or personal life, whether or not based on anything learnt in a Program.
- Third parties. The Company Parties are not liable for any act, omission, product or service of any third party, including venues, hotels, caterers, travel providers, online platforms, payment gateways, internet providers, guest speakers or other participants.
- Personal costs and safety. The Company Parties are not liable for your travel, flights, stay, visa, food or other personal costs, or for any loss, theft or damage to your belongings at any venue. - Technology. The Company Parties are not liable for any interruption, delay, error, virus or loss caused by the internet, any platform, portal or device, or your own equipment or connection.
- Each person protected. Each Company Party may rely on this section. No claim may be brought personally against Dr. Ameet Parekh or any coach, trainer or staff member for anything done for the Company.
- What is not excluded. Nothing in these Terms excludes liability that by law cannot be excluded, such as liability for fraud or for death or personal injury caused by proven gross negligence. In those cases, liability is limited to the extent the law allows.
- Reasonable allocation. You agree that these limits are reasonable, reflect the fees charged, and are a basis on which the Company offers its Programs. Each limit and exclusion in this section is separate and independent. If any one of them is held invalid, the others still apply in full, and the invalid one applies to the greatest extent the law allows.
14. Indemnity
You agree to indemnify and hold harmless the Company Parties against all claims, losses, damages, costs and expenses (including reasonable legal fees) arising from: (a) your breach of these Terms or the Refund Policy; (b) your misuse of any Program or material; (c) any content you post or share about the Company; (d) any claim by a third party connected with your business or conduct; and (e) any decision you make based on a Program.
15. Force majeure
The Company is not in breach of these Terms, and is not liable, for any failure or delay caused by events beyond its reasonable control, including natural disaster, epidemic, war, riot, government order, travel restriction, strike, power or internet failure, or illness or emergency of a speaker. In such cases the Company may postpone the Program, deliver it online or change it, as set out in section 9 of the Refund Policy.
16. Communication, data and records
- You agree that the Company may contact you by phone, email, SMS and WhatsApp about your Program, payments and other Programs. You may opt out of marketing messages at any time by email.
- Your personal data is handled as set out in our Privacy Policy. You agree that the Company may share your records with banks, payment providers, authorities and courts where needed to process payments, defend chargebacks or protect its legal rights.
- The Company’s records of payments, emails, WhatsApp messages, portal access, code confirmations, bookings and attendance are accepted as proof of your agreement, of delivery and of your attendance, unless you prove otherwise.
- Notices from the Company are deemed received when sent to the email address or WhatsApp number you registered with. All notices to the Company must be sent in writing by email (details in our Refund Policy). No other form of notice is valid.
17. Changes to these Terms
The Company may update these Terms at any time by publishing the new version on www.ameetparekh.com. The updated Terms apply from the date they are published. Refund windows and refund terms are fixed as at the date of your first payment, as stated in the Refund Policy.
18. Governing law and general
- These Terms are governed by the laws of the United Arab Emirates, and the courts of Dubai (UAE) have exclusive jurisdiction over any dispute.
- Rights that cannot be removed. Nothing in these Terms removes any right that, by law, cannot be removed. Every other clause applies to the fullest extent the law allows.
- Severability. Each section, clause, sub-clause and sentence of these Terms and of the Refund Policy is separate and independent. If any part is held invalid, illegal or unenforceable by any court or authority, (a) only that part is affected; (b) it is read down and applied to the greatest extent the law allows; (c) if it cannot be read down, it is removed, and the rest of these Terms and the Refund Policy remain fully valid and binding; and (d) it is replaced by a valid term that comes closest to the original intent.
- Survival. Sections 9 to 16 and this section continue to apply after your Program ends, is cancelled, or you are removed.
- Electronic agreement. Your online acceptance, payment, code entry, email and WhatsApp messages are valid electronic records and form a valid electronic contract under applicable law, including India’s Information Technology Act, 2000 and the electronic transactions laws of the UAE.
- Entire agreement and no reliance. These Terms, the Refund Policy and any written offer emailed by the Company from its official email address form the entire agreement between you and the Company, and replace any earlier discussion, message or promise. You confirm that you have not relied on any statement, promise or claim that is not written in them. Nothing said verbally by any salesperson, coach or staff member changes them.
- Order of priority. On refunds, cancellations, transfers, rescheduling and changes to Programs, the Refund Policy prevails. On all other matters, these Terms prevail over any advertisement, brochure, message or other material.
- No waiver. The Company not enforcing any right on any occasion does not waive that right.
- Assignment. You may not transfer your rights under these Terms without the Company’s written consent. The Company may transfer its rights and obligations to any related or successor entity.
- No partnership. Nothing in these Terms creates any partnership, agency or joint venture between you and the Company.
- Interpretation. Headings are for convenience only. “Including” means “including without limitation”. If these Terms are translated, the English version prevails.
19. Resolving disputes
- If you have any complaint, you agree to first send it in writing to the Company by email (details in our Refund Policy), with full details, and give the Company thirty (30) days to resolve it in good faith before starting any legal action, chargeback or public complaint.
- This does not take away any right that, by law, cannot be removed.
